Terms of Service

These Terms of Service ("Terms") govern your access to and use of the ManagerBhai business-management platform, websites and related services (together, the "Service") operated from Pakistan by ManagerBhai ("ManagerBhai", "we", "us" or "our"). By creating an account, accessing or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Accounts & eligibility

To use the Service you must register for an account and provide accurate, current and complete information. You must be at least 18 years old and legally capable of entering into a binding contract. You are responsible for all activity that occurs under your account and for keeping your password confidential. Notify us immediately if you suspect any unauthorised use of your account.

Each account is organised into a workspace (group). You are responsible for the users you invite to your workspace and for their compliance with these Terms.

2. Acceptable use

You agree not to, and not to permit others to:

• use the Service for any unlawful, fraudulent or misleading purpose;
• upload or process data you do not have the right to use;
• attempt to gain unauthorised access to the Service, other accounts, or our systems;
• probe, scan, or test the vulnerability of the Service without our prior written consent;
• interfere with or disrupt the integrity or performance of the Service;
• reverse engineer, copy, or resell any part of the Service except as permitted by law;
• use the Service to store or transmit malware or to send unsolicited messages.

3. Your data

You retain all rights to the business records, invoices, contacts, financial entries and other content you enter into the Service ("Your Data"). You grant us a limited licence to host, process, back up and display Your Data solely to provide and support the Service. Our handling of personal information is described in our Privacy Policy.

The Service applies multi-tenant isolation so that your workspace's data is not visible to other customers. You are responsible for maintaining your own copies of critical records; we provide export and backup tools for this purpose.

4. FBR e-invoicing & tax features

The Service includes optional integration with the Federal Board of Revenue (FBR) e-invoicing system and other tax and accounting tools. These features are provided to help you prepare and submit information, but:

• you remain solely responsible for the accuracy, completeness and lawful submission of your tax records and invoices;
• ManagerBhai is not a tax advisor and nothing in the Service constitutes tax, legal or accounting advice;
• submission to FBR depends on FBR systems and credentials that are outside our control, and we do not guarantee acceptance or timely processing by FBR.

You should consult a qualified professional regarding your tax obligations.

5. Availability

We aim to keep the Service available and reliable but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable for maintenance, updates, or reasons beyond our control. We may modify, add, or remove features from time to time.

6. Fees

Where the Service or specific features are offered free of charge, we may change or discontinue them at any time. Where paid plans are offered, applicable fees, billing cycles and taxes will be described at the point of purchase. Fees are non-refundable except where required by law.

7. Intellectual property

The Service, including its software, design, text, and logos (excluding Your Data), is owned by ManagerBhai or its licensors and is protected by intellectual-property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms. No other rights are granted.

8. Suspension & termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms, if required by law, or to protect the Service or other users. On termination, your right to use the Service ends. We may retain or delete Your Data in accordance with our Privacy Policy and applicable law; please export any data you need before terminating.

9. Disclaimers

The Service is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will meet your requirements or that any financial calculations or tax submissions produced through it will be accurate or accepted.

10. Limitation of liability

To the maximum extent permitted by law, ManagerBhai and its team will not be liable for any indirect, incidental, special, consequential or punitive damages, or for any loss of profits, revenue, data, or goodwill, arising out of or relating to your use of the Service. Our total liability for any claim relating to the Service will not exceed the amount you paid us for the Service in the twelve months before the claim, or PKR 5,000, whichever is greater.

11. Governing law

These Terms are governed by the laws of the Islamic Republic of Pakistan, without regard to its conflict-of-laws rules. The courts of Pakistan will have exclusive jurisdiction over any dispute arising from these Terms or the Service.

12. Changes to these Terms

We may update these Terms from time to time. When we make material changes we will update the "Last updated" date above and, where appropriate, notify you. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms.
